Distance Sales Agreement

1. Parties

This Distance Sales Agreement (“Agreement”) is concluded electronically between EFDA LABS TEKNOLOJİ VE BİLİŞİM HİZMETLERİ SANAYİ TİCARET LİMİTED ŞİRKETİ (“FaturaMerkez”) as the service provider and the person or organization purchasing a paid FaturaMerkez plan through the website or application (“Customer”).

2. Subject

The Agreement governs the remote purchase of the FaturaMerkez subscription plan selected electronically by the Customer, the electronic provision of the service, and the parties' rights and obligations concerning price and payment.

FaturaMerkez is primarily a B2B SaaS service used by accounting and SMMM offices for professional activities. Where a transaction qualifies as a consumer transaction under mandatory law, the Customer's mandatory consumer rights remain unaffected.

3. Main characteristics of the service

Depending on the selected plan and enabled functionality, FaturaMerkez supports online workflows such as document collection, document processing and review, accounting preparation, period visibility, integrations, and approved-data handoff.

The purchased plan name, billing period, usage limits, current features, and any special conditions are determined by the information shown on the order/payment screen together with the FaturaMerkez Terms of Use and License Agreement.

4. Price, taxes and payment

The service price consists of the plan fee shown at purchase, VAT, and any other taxes or additional charges explicitly disclosed before payment. The total amount shown before the Customer completes payment is controlling.

For card payments, full card details are not stored directly by FaturaMerkez; payment may be processed through an authorized bank/payment-provider infrastructure. Where bank transfer is offered, the Customer must use the account and payment-reference information shown during the payment flow.

5. Formation of the order and Agreement

The Agreement is formed electronically when the Customer selects the plan, billing period and payment method and completes the applicable payment or order confirmation. The Customer is responsible for reviewing the displayed plan, price, tax, renewal and service terms before purchase.

6. Performance of the service

The digital service is activated within a reasonable period after payment or required payment verification is completed. Where additional technical, security or payment verification is required, activation may occur after those checks are completed.

7. Subscription term, renewal and cancellation

The subscription applies for the monthly or yearly billing term selected at purchase. If automatic renewal has separately been enabled and the required authorization has been granted, the subscription may renew for another term when the current term ends.

The Customer may cancel future renewal through available account/billing controls or the support channel. Unless expressly stated otherwise, cancellation of future renewal does not end access before the end of the already-paid term.

8. Withdrawal rights and commencement of service

FaturaMerkez is primarily a B2B service used for commercial or professional purposes. If the Customer qualifies as a consumer in a particular transaction, any applicable withdrawal rights under the Turkish Distance Contracts Regulation and other mandatory law apply.

If performance of the digital service begins before the statutory withdrawal period expires at the consumer's express request/consent, any legally applicable exception to the withdrawal right may apply once the statutory conditions are met. Nothing in this Agreement removes mandatory consumer rights.

9. Invoicing and records

An invoice or other applicable fiscal document is issued for successful paid subscriptions and renewals in accordance with applicable tax and invoicing rules. Electronic records relating to the order, payment, contract acceptance and service activation may be retained in accordance with applicable law and FaturaMerkez retention practices.

10. Support, complaints and notices

Requests concerning the service, payment or subscription may be sent to [email protected]. The Customer should provide enough information to identify the account and relevant transaction.

11. Use conditions and service boundaries

Use of the service is also subject to the FaturaMerkez Terms of Use and License Agreement, privacy notices and relevant policies/addenda. FaturaMerkez does not replace the professional judgment of an accountant or SMMM; final accounting and tax decisions remain under authorized human control.

12. Personal data

Information on the processing of personal data is provided in the FaturaMerkez privacy notice and other applicable data-protection documents.

13. Disputes

For transactions entered into for commercial or professional purposes, applicable law and dispute resolution are governed by the Terms of Use and License Agreement and general legal rules. Where the Customer qualifies as a consumer, mandatory rights relating to consumer arbitration committees, consumer courts and other statutory remedies remain unaffected.

14. Effective date

This Agreement becomes effective when the Customer completes the electronic order or payment confirmation. The plan, term, price and payment details shown on the order screen form an integral part of this Agreement.
